A vetted, on-demand network of licensed professionals who support asset reviews, transaction documentation, and resolution — engaged only when a specific asset requires their expertise. Panel members are independent professionals, not Acquire AOX employees.

How the Panel Works

Asset Identified

When an asset submission requires specialized expertise — legal, tax, title, valuation, or industry-specific — we identify the right professional from the panel.

Professional Engaged

The panel member is engaged on an as-needed, project-specific basis. They are paid directly by Acquire AOX or the asset owner, as agreed in the engagement.

Resolution Supported

The panel member provides their professional work product — opinion letter, title report, valuation, tax analysis — which supports the documented transaction package.

Important

Panel members are engaged on a project-by-project basis. There is no retainer, no ongoing obligation, and no exclusivity requirement. Panel members are independent professionals who carry their own professional liability insurance and are responsible for their own work product. Acquire AOX does not supervise, direct, or control the professional judgment of panel members. Panel membership is not an endorsement of Acquire AOX by the professional, nor does it create a partnership, joint venture, or employment relationship.

Panel Professional Types

The panel covers the disciplines most commonly needed in complex asset reviews. Each category is populated with vetted, licensed, insured professionals.

Attorneys

Specialties: Real estate, business, probate, bankruptcy, creditor rights, litigation, tax, intellectual property, maritime, environmental

Role: Provide legal opinions on ownership, authority, transferability, lien priority, entity status, and transaction structure. Review and draft transaction documents. Advise on regulatory and compliance matters.

When engaged: Engaged when a transaction requires a legal opinion, document review, or counsel on a specific legal issue. Panel attorneys do not represent Acquire AOX in litigation.

CPAs & Tax Professionals

Specialties: Tax planning, entity taxation, estate and gift tax, property tax, 1031 exchanges, cost segregation, forensic accounting

Role: Analyze tax implications of proposed transactions. Review entity tax status and filing history. Calculate basis, depreciation recapture, and gain/loss. Identify tax refunds, credits, and unclaimed funds.

When engaged: Engaged when an asset involves significant tax considerations — entity sales, estate assets, depreciation-heavy property, cross-state transfers, or potential tax refund recovery.

Title Professionals & Abstractors

Specialties: Title examination, chain of title, lien searches, judgment searches, UCC searches, mineral rights, easements and encumbrances

Role: Produce preliminary title reports, commitment letters, and abstract documents. Identify all recorded liens, encumbrances, easements, restrictions, and ownership gaps. Support chain of title documentation.

When engaged: Engaged for every real estate transaction. May also be engaged for non-real-estate assets requiring recorded-instrument searches (UCC, fixture filings, vessel documentation).

Appraisers & Valuation Specialists

Specialties: Real estate appraisal, business valuation, equipment appraisal, machinery and technical equipment, inventory valuation, intellectual property valuation

Role: Provide independent, defensible valuation reports. Support internal review with market comparables, income approach, or cost approach as appropriate. Identify value drivers and detracting factors.

When engaged: Engaged when market value is uncertain, when the asset type requires specialized valuation methodology, or when documentation for a third party (court, lender, tax authority) requires a qualified appraisal.

Industry Specialists

Specialties: Restaurant, construction, medical/dental, manufacturing, marine, transportation, hospitality, retail, agriculture, energy, technology

Role: Advise on industry-specific asset value, market conditions, buyer pools, regulatory requirements, and liquidation channels. Identify operational or market risks not apparent from documents alone.

When engaged: Engaged when an asset involves industry-specific considerations — equipment specialization, license requirements, market dynamics, or buyer qualification criteria.

Compliance & Regulatory Professionals

Specialties: OFAC/sanctions, AML/KYC, environmental (Phase I/II ESA), securities, liquor licensing, healthcare compliance, export controls

Role: Screen counterparties. Review environmental risk. Assess regulatory license requirements. Confirm that the proposed transaction structure complies with applicable federal, state, and local regulations.

When engaged: Engaged for transactions involving regulated industries, international parties, environmental risk, or counterparties in higher-risk jurisdictions.

Engagement Model

Project-Based Only

Panel members are engaged for specific projects, not on retainer. No ongoing commitment is required from either party.

Independent Professionals

Panel members are not Acquire AOX employees, contractors, or agents. They carry their own professional liability insurance and maintain their own licenses.

No Exclusivity

Panel members are free to work with any other firm, client, or counterparty. Acquire AOX does not require exclusivity.

Direct Payment

Panel members are paid for their work product on terms agreed at engagement. Payment terms are established before work begins.

Work Product Ownership

Unless otherwise agreed, the panel member retains ownership of their work product and grants Acquire AOX a license to use it for the specific transaction.

Confidentiality

All panel engagements are subject to confidentiality obligations regarding the asset, the owner, and the transaction details.
